Determiningwhethertherewasanobligationofconfidencewilldependonthenatureoftherelationshipbetweentheparties.Iftherewasawrittencontractoryouimpliedtotherecipientthattheyshouldkeeptheinformationconfidential,thenyoucanbesatisfiedthattherewasanobligationofconfidence.  Forexample,youshareyourclientlistwithyouremployeeforthemtocompletetheiremploymentduties.Youremployeewilltypicallybeunderanobligationnottosharethislistwithoutconsent. WastheBreachUnauthorised? Ifyouhaveconsentedtosharetheinformationthatyoudisclosedtotheotherparty,thiswillnotconstituteabreach.However,iftheotherpartyhassharedconfidentialinformationwithoutyourknowledgeorconsent,thenthisbreachwouldbeconsideredunauthorised. Forexample,youremployeeresignsfromyourbusinesstoworkforacompetitorandhassharedyourclientlistwiththeirnewemployer. DidYourBusinessSufferSignificantLossFromtheBreach? Yourdemandscanbesimplyfortheotherpartyto‘ceaseanddesist’usingyourconfidentialinformation.Or,theymaytaketheformofcompensation.Potentialconsequencesusuallystatethatyouwilltakefurtherlegalactioniftherecipientdoesnotcomplywiththeletter.  Ifnegotiatingoutsideofcourtisunsuccessful,youmaywishtocommenceformallegalproceedings.Ifproceedingsaresuccessful,therearetwopossibleoutcomesavailable: aninjunction: thiswillpreventthepartiesfrombeingabletokeepusingordisclosingtheconfidentialinformation;and  damages: thisismonetarycompensationforanylossescausedbythebreachofconfidence.
