enerallyknownandwhichtheCompanywishestomaintainasconfidential.CompanyConfidentialInformationincludesbothinformationdisclosedbytheCompanytome,andinformationdevelopedorlearnedbymeduringthecourseofmyemploymentwiththeCompany.CompanyConfidentialInformationalsoincludesallinformationofwhichtheunauthorizeddisclosurecouldbedetrimentaltotheinterestsoftheCompany,whetherornotsuchinformationisidentifiedasCompanyConfidentialInformation.Byexample,andwithoutlimitation,CompanyConfidentialInformationincludesanyandallnon-publicinformationthatrelatestotheactualoranticipatedbusinessand/orproducts,researchordevelopmentoftheCompany,ortotheCompany’stechnicaldata,tradesecrets,orknow-how,including,butnotlimitedto,research,productplans,orotherinformationregardingtheCompany’sproductsorservicesandmarketstherefor,customerlistsandcustomers(including,butnotlimitedto,customersoftheCompanyonwhichIcalledorwithwhichImaybecomeacquaintedduringthetermofmyemployment),software,developments,inventions,discoveries,ideas,processes,formulas,technology,designs,drawings,engineering,hardwareconfigurationinformation,marketing,finances,andotherbusinessinformationdisclosedbytheCompanyeitherdirectlyorindirectlyinwriting,orallyorbydrawingsorinspectionofpremises,parts,equipment,orotherCompanyproperty.Notwithstandingtheforegoing,CompanyConfidentialInformationshallnotincludeanysuchinformationwhichIcanestablish(i)waspubliclyknownormadegenerallyavailablepriortothetimeofdisclosurebytheCompanytome;(ii)becomespubliclyknownormadegenerallyavailableafterdisclosurebytheCompanytomethroughnowrongfulactionoromissionbyme;or(iii)isinmyrightfulpossession,withoutconfidentialityobligations,atthetimeofdisclosurebytheCompanyasshownbymythen-contemporaneouswrittenrecords;providedthatanycombinationofindividualitemsofinformationshallnotbedeemedtobewithinanyoftheforegoingexceptionsmerelybecauseoneormoreoftheindividualitemsarewithinsuchexception,unlessthecombinationasawholeiswithinsuchexception.IunderstandthatnothinginthisAgreementisintendedtolimitemployees’rightstodiscusstheterms,wages,andworkingconditionsoftheiremployment,asprotectedbyapplicablelaw.CustomerConfidentialInformationmeansConfidentialInformationoftheCustomerprovidedtoComputershare.Confidentialcommercialinformationmeansrecordsprovidedtothegovern-mentbyasubmitterthatarguablycontainmaterialexemptfromreleaseunderExemption4oftheFreedomofInformationAct,5U.S.C.552(b)(4),be-causedisclosurecouldreasonablybeexpectedtocausesubstantialcompeti-tiveharm.Supplier'sConfidentialInformationmeansanyinformation,howeveritisconveyed,thatrelatestothebusiness,affairs,developments,tradesecrets,Know-How,personnelandsuppliersoftheSupplier,includingIPRs,togetherwithinformationderivedfromtheabove,andanyotherinformationclearlydesignatedasbeingconfidential(whetherornotitismarkedas"confidential")orwhichoughtreasonablytobeconsideredtobeconfidential;PurchaserConfidentialInformationmeansallconfidentialorproprietarydocumentsandinformationconcerningthePurchaseroranyofitsRepresentatives;provided,however,thatPurchaserConfidentialInformationshallnotincludeanyinformationwhich,(i)atthetimeofdisclosurebytheCompany,anySellerortheirrespectiveRepresentatives,isgenerallyavailablepubliclyandwasnotdisclosedinbreachofthisAgreementor(ii)atthetimeofthedisclosurebythePurchaseroritsRepresentativestotheCompany,anySellerortheirrespectiveRepresentativeswaspreviouslyknownbysuchreceivingpartywithoutviolationofLaworanyconfidentialityobligationbythePersonreceivingsuchPurchaserConfidentialInformation.Fortheavoidanceofdoubt,fromandaftertheClosing,PurchaserConfidentialInformationwillincludetheconfidentialorproprietaryinformationoftheTargetCompanies.BuyerConfidentialInformationmeanstechnicalorcommercialinformationdisclosedbytheBuyertotheSellerthattheBuyerdirects,andclearlymarks,asconfidential,includingthisEPAwhetherornotsodirectedandmarked,butexcludinginformationthat(i)isorbecomesinthepublicdomain,otherthanasaresultofabreachofthisEPAbytheSeller,or(ii)isknowntotheSellerbeforedisclosuretoitbytheBuyer,orbecomesknowntotheSeller,thereafterbywayofdisclosuretotheSellerbyanyotherPersonwhoisnotunderanobligationofconfidentialitywithrespectthereto.Contractor'sConfidentialInformationmeansanyinformation,howeveritisconveyed,thatrelatestothebusinessaffairs,developments,tradesecrets,know-how,Contractor’sPersonnelandsuppliersoftheContractor,includingIPRs,togetherwithallinformationderivedfromtheabove,andanyotherinformationclearlydesignatedasbeingconfidential(whetherornotitismarkedas"confidential")orwhichoughtreasonablytobeconsideredtobeconfidential,includingtheCommerciallySensitiveInformation.Authority'sConfidentialInformationmeansallPersonalDataandanyinformation,howeveritisconveyed,thatrelatestothebusiness,affairs,developments,tradesecrets,know-how,personnel,andsuppliersoftheAuthority,includingallIPRs,togetherwithallinformationderivedfromanyoftheabove,andanyotherinformationclearlydesignatedasbeingconfidential(whetherornotitismarked"confidential")orwhichoughtreasonablybeconsideredtobeconfidential;ProprietaryandConfidentialInformationmeanstradesecrets,confidentialknowledge,dataoranyotherproprietaryorconfidentialinformationoftheCompanyoranyofitsaffiliates,orofanycustomers,members,employeesordirectorsofanyofsuchentities,butshallnotincludeanyinformationthat(i)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosuretoExecutivebytheCompanyor(ii)becomespubliclyknownandmadegenerallyavailableafterdisclosuretoExecutivebytheCompanyotherthanasaresultofadisclosurebyExecutiveinviolationofthisAgreement.Bywayofillustrationbutnotlimitation,“ProprietaryandConfidentialInformation”includes:(i)tradesecrets,documents,memoranda,reports,files,correspondence,listsandotherwrittenandgraphicrecordsaffectingorrelatingtoanysuchentity’sbusiness;(ii)confidentialmarketinginformationincludingwithoutlimitationmarketingstrategies,customerandclientnamesandrequirements,services,prices,marginsandcosts;(iii)confidentialfinancialinformation;(iv)personnelinformation(includingwithoutlimitationemployeecompensation);and(v)otherconfidentialbusinessinformation.ConfidentialInformationBreachmeans,generally,aninstancewhereanunauthorizedpersonorentityaccessesConfidentialInformationinanymanner,includingbutnotlimitedtothefollowingoccurrences:(1)anyConfidentialInformationthatisnotencryptedorprotectedismisplaced,lost,stolenorinanywaycompromised;(2)oneormorethirdpartieshavehadaccesstoortakencontrolorpossessionofanyConfidentialInformationthatisnotencryptedorprotectedwithoutpriorwrittenauthorizationfromtheState;(3)theunauthorizedacquisitionofencryptedorprotectedConfidentialInformationtogetherwiththeconfidentialprocessorkeythatiscapableofcompromisingtheintegrityoftheConfidentialInformation;or(4)ifthereisasubstantialriskofidentitytheftorfraudtotheclient,theContractor,theDepartmentorState.ConfidentialMaterialsmeansalltangiblematerialscontainingConfidentialInformation,includingwithoutlimitationwrittenorprinteddocumentsandcomputerdisksortapes,whethermachineoruserreadable.HighlyConfidentialInformationmeansinformationthattheSubmittingPartyhaskeptstrictlyconfidential;thatissubjecttoprotectionundertheFreedomofInformationAct;thattheSubmittingPartyclaimsconstitutessomeofitsmostsensitivebusinessdatawhich,ifreleasedtocompetitorsorthosewithwhomtheSubmittingPartydoesbusiness,wouldallowthosepersonstogainasignificantadvantageinthemarketplaceorinnegotiations;andthatisdescribedinAttachment1tothisProtectiveOrder,asthesamemaybeamendedfromtimetotime.ConfidentialMaterialmeansdata(includingbutnotlimitedtoportfoliodata)anddocuments,whicharenotinthepublicdomainandwhicharedisclosedtotheFCMClearingMember,itsassociatedcompaniesandadvisers,ortowhichtheFCMClearingMember,itsassociatedcompaniesandadvisersobtainsorotherwisehasaccessasaresultofparticipationintheRatesServiceDMP,(which,fortheavoidanceofdoubt,doesnotincludeanyinformation,dataordocumentsprovidedtotheClearingHousebytheFCMClearingMember).Keepinginformationconfidentialmeansusingdiscretionindisclosinginformationaswellasguardingagainstunlawfulorinappropriateaccessbyothers.Thisincludes:OtherConfidentialConsumerInformationTheContractoragreestocomplywiththerequirementsofAHSRuleNo.08-048concerningaccesstoinformation.TheContractoragreestocomplywithanyapplicableVermontStateStatute,includingbutnotlimitedto12VSA§1612andanyapplicableBoardofHealthconfidentialityregulations.TheContractorshallensurethatallofitsemployeesandsubcontractorsperformingservicesunderthisagreementunderstandthesensitivenatureoftheinformationthattheymayhaveaccesstoandsignanaffirmationofunderstandingregardingtheinformation’sconfidentialandnon-publicnature.Confidentialpersonalinformationmeansaparty’soraparty’schild’sSocialSecuritynumber;dateofbirth;driverlicensenumber;formerlegalnames;andemployer’sname,address,andtelephonenumber.CommerciallySensitiveInformationmeanstheInformation(i)listedintheCommerciallySensitiveInformationSchedule;or(ii)notifiedtotheAuthorityinwriting(priortothecommencementofthisContract)whichhasbeenclearlymarkedasCommerciallySensitiveInformationcomprisedofinformation:CompanyInformationatanygiventimeshallmeanthePrivatePlacementMemorandumtogetherwith,totheextentapplicable,(i)theIssuer’smostrecentreportonForm10-KfiledwiththeSECandeachreportonForm10-Qor8-KfiledbytheIssuerwiththeSECsincethemostrecentForm10-K,(ii)theIssuer’smostrecentannualauditedfinancialstatementsandeachinterimfinancialstatementorreportpreparedsubsequentthereto,ifnotincludedinitem(i)above,(iii)theIssuer’sanditsaffiliates’otherpubliclyavailablerecentreports,including,butnotlimitedto,anypubliclyavailablefilingsorreportsprovidedtotheirrespectiveshareholders,(iv)anyotherinformationordisclosurepreparedpursuanttoSection4.3hereofand(v)anyinformationpreparedorapprovedbytheIssuerfordisseminationtoinvestorsorpotentialinvestorsintheNotes.ConfidentialorProprietaryInformationmeansanysecret,confidentialorproprietaryinformationoftheCompanyoranaffiliate(nototherwiseincludedinthedefinitionofaTradeSecretunderthisEmploymentAgreement)thathasnotbecomegenerallyavailabletothepublicbytheactofonewhohastherighttodisclosesuchinformationwithoutviolationofanyrightoftheCompanyoritsaffiliates.ConfidentialSystemInformationmeansanycommunicationorrecord(whetheroral,written,electronicallystoredortransmitted,orinanyotherform)providedtoormadeavailabletoGrantee;orthatGranteemaycreate,receive,maintain,use,discloseorhaveaccesstoonbehalfofHHSCorthroughperformanceoftheProject,whichisnotdesignatedasConfidentialInformationinaDataUseAgreement.
