CFR TableofPopularNames prevnext (a)Ingeneral,OPMwillnotdiscloseconfidentialcommercialinformationinresponsetoaFreedomofInformationActrequestexceptinaccordancewiththissection. (b)ThefollowingdefinitionsfromExecutiveOrder12600,applytothissection: (1)ConfidentialcommercialinformationmeansrecordsprovidedtotheGovernmentbyasubmitterthatarguablycontainmaterialexemptfromreleaseunderExemption4oftheFreedomofInformationAct,5U.S.C.552(b)(4),becausedisclosurecouldreasonablybeexpectedtocausesubstantialcompetitiveharm. (2)Submittermeansanypersonorentitywhoprovidesconfidentialcommercialinformation,directlyorindirectly,toOPM.Thetermincludes,butisnotlimitedto,corporations,stategovernments,andforeigngovernments. (c)Submittersofinformationshalldesignatebyappropriatemarkings,eitheratthetimeofsubmissionoratareasonabletimethereafter,anyportionsoftheirsubmissionsthattheyconsidertobeconfidentialcommercialinformation.Suchdesignationsshallexpire10yearsafterthedateofsubmissionunlessthesubmitterrequests,andprovidesreasonablejustificationfor,adesignationperiodofgreaterduration. (d)OPMshall,totheextentpermittedbylaw,providepromptwrittennoticetoaninformationsubmitterofFreedomofInformationrequestsoradministrativeappealsif: (1)Thesubmitterhasmadeagoodfaithdesignationthattherequestedmaterialisconfidentialcommercialinformation,or (2)OPMhasreasontobelievethattherequestedmaterialmaybeconfidentialcommercialinformation. (e)Thewrittennoticerequiredinparagraph(d)ofthissectionshalleitherdescribetheconfidentialcommercialmaterialrequestedorincludeasanattachment,copiesorpertinentportionsoftherecords. (f)WheneverOPMprovidesthenotificationandopportunitytoobjectrequiredbyparagraphs(d)and(h)ofthissection,itwilladvisetherequesterthatnoticeandanopportunitytoobjectarebeingprovidedtothesubmitter. (g)Thenoticerequirementsofparagraph(d)ofthissectionshallnotapplyif: (1)OPMdeterminesthattheinformationshouldnotbedisclosed; (2)Theinformationhasbeenlawfullypublishedorofficiallymadeavailabletothepublic; (3)Disclosureoftheinformationisrequiredbylaw(otherthan5U.S.C.552); (4)TheinformationwassubmittedonorafterAugust20,1992,andhasnotbeendesignatedbythesubmitterasexemptfromdisclosureinaccordancewithparagraph(c)ofthissection,unlessOPMhassubstantialreasontobelievethatdisclosureoftheinformationwouldresultincompetitiveharm;or (5)Thedesignationmadebythesubmitterinaccordancewithparagraph(c)ofthissectionappearsobviouslyfrivolous;exceptthat,insuchacase,OPMshall,withinareasonablenumberofdayspriortoaspecifieddisclosuredate,notifythesubmitterinwritingofanyfinaladministrativedecisiontodisclosetheinformation. (h)Thenoticedescribedinparagraph(d)ofthissectionshallgiveasubmitterareasonableperiodfromthedateofthenoticetoprovideOPMwithadetailedwrittenstatementofanyobjectiontodisclosure.ThestatementshallspecifyallgroundsforwithholdinganyofthematerialunderanyexemptionoftheFreedomofInformationAct.WhenExemption4oftheFOIAiscitedasthegroundsforwithholding,thespecificationshalldemonstratethebasisforanycontentionthatthematerialisatradesecretorcommercialorfinancialinformationthatisprivilegedorconfidential.Itmustalsoincludeaspecificationofanyclaimofcompetitiveharm,includingthedegreeofsuchharm,thatwouldresultfromdisclosure.InformationprovidedinresponsetothisparagraphmayitselfbesubjecttodisclosureundertheFOIA.Informationprovidedinresponsetothisparagraphshallalsobesubjecttothedesignationrequirementsofparagraph(c)ofthissection.FailuretoobjectinatimelymannershallbeconsideredastatementofnoobjectionbyOPM,unlessOPMextendsthetimeforobjectionupontimelyrequestfromthesubmitterandforgoodcauseshown.Theprovisionsofthisparagraphconcerningopportunitytoobjectshallnotapplytonoticesofadministrativeappeals,whenthesubmitterhasbeenpreviouslyprovidedanopportunitytoobjectatthetimetherequestwasinitiallyconsidered. (i)OPMshallconsidercarefullyasubmitter'sobjectionsandspecificgroundsfornondisclosure,whenreceivedwithintheperiodoftimedescribedinparagraph(h)ofthissection,priortodeterminingwhethertodisclosetheinformation.WheneverOPMdecidestodisclosetheinformationovertheobjectionofasubmitter,OPMshallforwardtothesubmitterawrittennotice,whichshallinclude: (1)Astatementofthereasonswhythesubmitter'sdisclosureobjectionswerenotsustained; (2)Adescriptionoftheinformationtobedisclosed;and (3)Aspecifieddisclosuredate. (j)OPMwillnotifyboththesubmitterandtherequesterofitsintenttodisclosematerialareasonablenumberofdayspriortothespecifieddisclosuredate. (k)Wheneverarequesterbringssuitseekingtocompeldisclosureofconfidentialcommercialinformation,OPMshallpromptlynotifythesubmitter.
