CommercialConfidentialInformationSampleClausesFilter&SearchClause:CommercialConfidentialInformationContractTypeJurisdictionCountryIncludeKeywordsExcludeKeywordsAdditionalfiltersareavailableinsearchOpenSearchParentClausesTransferoftheEquityInteresttothePurchaserConfidentialityRemoveAdvertisingRemoveAdvertisingOpenSplitViewDownloadShareCiteCommercialConfidentialInformation. ForthepurposeofthisArticle5,thecommercialconfidentialinformationmeansthebusinessoperation,commercialstrategy,commercialplan,investmentplan,product,sales,customer,employee,marketing,technology,finance,orotherrelatedinformationinverbalorwrittenform,including,butnotlimitedto,thereports,recordsandalltheduplicatesofsuchinformation(includingelectroniccopies),duplicatesandtranslations.Sample1Sample2SaveCopyRemoveAdvertisingCommercialConfidentialInformation allinformationotherthanTechnicalConfidentialInformationbutincluding:tradesecrets;customer/clientlists,contactdetailsofclients,customersandsuppliersandindividualswithinthoseorganisations;financialprojections,targetdetailsandaccounts;feelevels,pricingpolicies,commissionsandcommissioncharges;budgets,forecasts,reports,interpretations,recordsandcorporateandbusinessplans;plannedproductsandservices;marketingandadvertisingplans,requirementsandmaterials,marketingsurveysandresearchreportsandmarketshareandpricingstatistics;andpasswords;theCompany:ElevonInternationalLimited;theCompaniesActs:theCompaniesAct1985,theCompaniesConsolidation(ConsequentialProvisions)Act1985,theCompaniesAct1989andPartVoftheCriminalJusticeAct1993;Sample1SaveCopyRelatedClausesE4ConfidentialInformationScopeofConfidentialInformationMaintainingConfidentialInformationNon-ConfidentialInformationAccesstoConfidentialInformationReleaseofConfidentialInformationThirdPartyConfidentialInformationCompanyConfidentialInformationReturnofConfidentialInformationTradeSecretsandConfidentialInformationRelatedtoCommercialConfidentialInformationE4ConfidentialInformationE4.1ExcepttotheextentsetoutinthisclauseorwheredisclosureisexpresslypermittedelsewhereinthisContract,eachPartyshall:ScopeofConfidentialInformationExecutiveacknowledgesthattheCompanyhasdeveloped,andwillduringthetermofExecutive’semploymentcontinuetodevelop,substantial,confidential,competitivelyvaluableinformationandotherintangibleor“intellectualproperty”inconnectionwithitsbusiness,someorallofwhichisproprietarytotheCompany,(collectively,the“ConfidentialInformation”).Withoutlimitingthegeneralityoftheprecedingsentence,Executiveexpresslyrecognizesandagreesthat,subjecttotheremainderofthisSection5.2,thefollowingitems,andallcopies,summaries,extractsorderivativeworksthereof,areentitledtotradesecretprotectionandconstituteConfidentialInformationunderthisAgreement,whetherdevelopedpriortothedatehereoforthereafter,andwhetherwiththeassistanceofExecutiveorotherwise:(i)theCompany’sproprietarycomputersoftware,databasesandlistsofcustomers,prospects,candidates,andemployees;employeeapplications;skillsinventorysheetsandsimilarsummariesofemployeequalifications,aswellasemployeecompensation;customerorderinghabits,billingrates,buyingpreferences,andshorttermneeds;salesreportsandanalysis;(ii)employeereportsandanalysis;customerjobordersandprofitmargindata;businessesprocesses,methodsofoperationandsalestechniques;(iii)statisticalinformationregardingtheCompany;(iv)financialinformationoftheCompanyanditscustomersthatisnotpubliclyavailable;(v)speciallynegotiatedtermsandpricingwithvendorsandcustomers;(vi)researchanddevelopment,businessprojects,strategicbusinessplans,andstrategies;productsandsolutionservicesofferedtocustomers;and(vii)anyothernon-publicinformationoftheCompanythatgivestheCompanyacompetitiveadvantagebyvirtueofitnotbeinggenerallyknown.Notwithstandingtheforegoing,theConfidentialInformationshallnotinclude(a)anyinformationwhichisorbecomespubliclyavailable,otherthanasaresultofthewrongfulactionofExecutiveorhisagents;(b)anyinformationindependentlydevelopedbyExecutivesubsequenttotheDateofTermination;(c)anyinformationmadeavailabletoExecutivefollowingtheterminationofExecutive’semploymentfromathirdpartynotknownbyExecutivetobeunderbinderofconfidentialitytotheCompanywithregardtheretoor(d)anyinformationastowhichtheCompanyspecificallywaivesitsrightshereunderpursuanttoaninstrumentinwriting.MaintainingConfidentialInformationExecutivereaffirmshisobligationsundertheConfidentialityAgreement.ExecutiveacknowledgesandagreesthatthepaymentsprovidedinSection3aboveshallbesubjecttoExecutive’scontinuedcompliancewithExecutive’sobligationsundertheConfidentialityAgreement.Non-ConfidentialInformationConfidentialInformationwillnotincludeinformationthattheReceivingPartycanshow:(a)wasknowntoitatthetimeofdisclosure;or(b)waspubliclyavailableorknownintheindustryatthetimeofdisclosure;or(c)subsequenttodisclosure,becamepubliclyavailableorgenerallyknownintheindustrythroughnofaultoftheReceivingParty;or(d)isobtainedfromathirdpartyhavingnoobligationofconfidentiality;or(e)isindependentlydevelopedbytheReceivingPartywithoutreferenceoraccesstotheConfidentialInformation.AccesstoConfidentialInformationEachpartyacknowledgesthattheotherparty,itsemployeesoragents,maybegivenaccesstoConfidentialInformationrelatingtotheotherparties'businessortheoperationofthisAgreementoranynegotiationsrelatingtothisAgreement.ReleaseofConfidentialInformationNoPartyshallreleaseordiscloseConfidentialInformationtoanyotherperson,excepttoitsAffiliates(limitedbyFERCStandardsofConductrequirements),subcontractors,employees,consultants,ortopartieswhomaybeconsideringprovidingfinancingtoorequityparticipationwithDeveloper,ortopotentialpurchasersorassigneesofaParty,onaneed-to-knowbasisinconnectionwiththisAgreement,unlesssuchpersonhasfirstbeenadvisedoftheconfidentialityprovisionsofthisArticle22andhasagreedtocomplywithsuchprovisions.Notwithstandingtheforegoing,aPartyprovidingConfidentialInformationtoanypersonshallremainprimarilyresponsibleforanyreleaseofConfidentialInformationincontraventionofthisArticle22.ThirdPartyConfidentialInformationConsultantrecognizesthattheCompanyhasreceivedandinthefuturewillreceivefromthirdpartiestheirconfidentialorproprietaryinformationsubjecttoadutyontheCompany’sparttomaintaintheconfidentialityofsuchinformationandtouseitonlyforcertainlimitedpurposes.Consultantagreesthat,duringthetermofthisAgreementandthereafter,ConsultantowestheCompanyandsuchthirdpartiesadutytoholdallsuchconfidentialorproprietaryinformationinthestrictestconfidenceandnottodiscloseittoanyperson,firmorcorporationortouseitexceptasnecessaryincarryingouttheServicesfortheCompanyconsistentwiththeCompany’sagreementwithsuchthirdparty.CompanyConfidentialInformationIwillnotuseordiscloseConfidentialInformation,whetherbefore,duringoraftertheperiodofmyemploymentexcepttoperformmydutiesasanemployeeoftheCompanybasedonmyreasonablejudgmentasanOfficeroftheCompany,orinaccordancewithinstructionorauthorizationoftheCompany,withoutpriorwrittenconsentoftheCompanyorpursuanttoprocessorrequirementsoflawafterIhavedisclosedsuchprocessorrequirementstotheCompanysoastoaffordittheopportunitytoseekappropriaterelieftherefrom.“ConfidentialInformation”meansanyInventionofanypersoninwhichtheCompanyhasaninterestandinadditionmeansanyfinancial,client,customer,supplier,marketing,distributionandotherinformationofaconfidentialorprivatenatureconnectedwiththebusinessoftheCompanyoranypersonwithwhomitdeals,providedbytheCompanytomeortowhichIhaveaccessduringorinthecourseofanyemployment.ConfidentialInformationistobebroadlydefined,andincludesallinformationthathasorcouldhavecommercialvalueorotherutilityinthebusinessinwhichtheCompanyisengagedorcontemplatesengaging,andallinformationofwhichtheunauthorizeddisclosurecouldbedetrimentaltotheinterestsoftheCompany,whetherornotsuchinformationisidentifiedasConfidentialInformationbytheCompany.ReturnofConfidentialInformationEachofNetworkRailandtheTrainOperatorshallpromptlyreturntotheotherpartyanyConfidentialInformationrequestedbytheotherpartyifsuchrequest:TradeSecretsandConfidentialInformationTheExecutiverepresentsandwarrantsthat:(i)theExecutiveisnotsubjecttoanylegalorcontractualdutyoragreementthatwouldpreventorprohibittheExecutivefromperformingtheExecutive’sDutiesfortheCompanyorotherwisecomplyingwiththisAgreement,and(ii)theExecutiveisnotinbreachofanylegalorcontractualdutyoragreement,includinganyagreementconcerningtradesecretsorconfidentialinformationownedbyanyotherparty.TheExecutiveagreesthattheExecutivewillnot:(1)use,disclose,orreverseengineertheTradeSecretsortheConfidentialInformationforanypurposeotherthantheCompany’sBusiness,exceptasauthorizedinwritingbytheCompany;(2)duringtheExecutive’semploymentwiththeCompany,use,disclose,orreverseengineer(a)anyconfidentialinformationortradesecretsofanyformeremployerorthirdparty,or(b)anyworksofauthorshipdevelopedinwholeorinpartbytheExecutiveduringanyformeremploymentorforanyotherparty,unlessauthorizedinwritingbytheformeremployerorthirdparty;or(3)upontheExecutive’sresignationortermination(a)retainTradeSecretsorConfidentialInformation,includinganycopiesexistinginanyform(includingelectronicform),whichareintheExecutive’spossessionorcontrol,or(b)destroy,delete,oraltertheTradeSecretsorConfidentialInformationwithouttheCompany’swrittenconsent.TheobligationsunderthissubsectionAshall:(I)withregardtotheTradeSecrets,remainineffectaslongastheinformationconstitutesatradesecretunderapplicablelaw,and(II)withregardtotheConfidentialInformation,remainineffectduringtheRestrictedPeriod.Theconfidentiality,property,andproprietaryrightsprotectionsavailableinthisAgreementareinadditionto,andnotexclusiveof,anyandallotherrightstowhichtheCompanyisentitledunderfederalandstatelaw,including,butnotlimitedto,rightsprovidedundercopyrightlaws,tradesecretandconfidentialinformationlaws,andlawsconcerningfiduciaryduties.
